Terms of Service

These Terms govern the use and purchase of HogeyTech software, website, hosting, infrastructure, IT support, consulting, and related services.

1. Agreement to these Terms

These Terms of Service ("Terms") govern services provided by HogeyTech ("HogeyTech," "we," "us," or "our").

By ordering, purchasing, accessing, or using HogeyTech services, you agree to these Terms together with any applicable proposal, estimate, statement of work, service plan, invoice, or other written agreement.

2. Services

HogeyTech may provide services including software development, web design and development, managed hosting and infrastructure, business IT support, domains and DNS, integrations, automation, maintenance, and technical consulting.

The specific services, deliverables, price, schedule, responsibilities, and other project requirements may be described in a proposal, estimate, invoice, statement of work, service plan, or similar document.

3. Client responsibilities

You agree to:

  • Provide accurate information reasonably required to perform the services.
  • Provide timely access, approvals, credentials, content, and decisions when required.
  • Maintain appropriate licenses and rights for materials you provide to HogeyTech.
  • Use services lawfully and in accordance with applicable third-party terms.
  • Protect credentials and promptly report suspected unauthorized access.

4. Fees, invoices, and payment

Pricing and payment schedules are stated in the applicable proposal, service agreement, estimate, order, or invoice.

  • Invoices are due according to the payment terms shown on the invoice.
  • Some projects or services may require a deposit or advance payment.
  • HogeyTech may pause work or suspend affected services when undisputed amounts remain materially overdue.
  • Clients remain responsible for approved third-party charges incurred on their behalf.

Payment processing

Payments may be processed through third-party payment providers such as Stripe. Use of those payment services may also be subject to the provider's applicable terms and privacy practices.

Refunds

Refund eligibility depends on the applicable service, work already performed, third-party costs incurred, and any terms contained in the applicable proposal, invoice, or service agreement.

5. Scope changes

A request that materially changes features, requirements, deliverables, assumptions, or timing may constitute a change in scope.

HogeyTech may provide revised pricing, timing, or other terms before performing work outside the agreed scope.

6. Intellectual property

Rights to client-specific final deliverables are governed by the applicable project agreement or scope document and any associated third-party licenses.

Unless otherwise agreed in writing, HogeyTech retains rights to its pre-existing tools, reusable software components, processes, methodologies, frameworks, know-how, and other materials that were not created exclusively as a client deliverable.

Third-party software, services, libraries, fonts, media, platforms, and other materials remain subject to their respective licenses and terms.

7. Hosting, domains, infrastructure, and third parties

Some HogeyTech services depend on third-party infrastructure, software, registrars, networks, payment processors, email services, cloud platforms, APIs, or other providers.

Third-party services may experience outages, security incidents, feature changes, policy changes, or pricing changes outside HogeyTech's control.

Where a third-party account is owned directly by the client, the client remains responsible for that account and its applicable provider terms, charges, and policies unless otherwise agreed.

8. Support and maintenance

Ongoing support, maintenance, monitoring, backups, updates, or response commitments are included only when specified in the applicable service arrangement.

Work requested outside an included support scope may require separate approval and billing.

9. Confidentiality

Each party should use reasonable care to protect confidential, non-public information received from the other and use that information only for legitimate purposes related to the services, except where disclosure is authorized or legally required.

10. Security and backups

HogeyTech may implement reasonable safeguards, security practices, and backup measures appropriate to the services being provided.

No internet-connected system, hosting environment, backup system, or security measure can guarantee uninterrupted operation, complete security, or zero risk of data loss.

11. Service availability

Unless a separate agreement expressly provides a specific service level, HogeyTech does not guarantee uninterrupted or error-free availability of websites, applications, hosting, infrastructure, third-party platforms, networks, or related technology.

12. Limitation of liability

To the maximum extent permitted by applicable law, HogeyTech will not be liable for indirect, incidental, special, exemplary, or consequential damages, including loss of profits, revenue, business opportunity, or data arising from the services.

To the maximum extent permitted by applicable law, HogeyTech's total liability for a claim related to a specific service or project will not exceed the amount paid to HogeyTech for the service or project giving rise to that claim, unless a separate written agreement states otherwise.

13. Suspension and termination

Either party may end a project or ongoing service subject to any notice, minimum term, cancellation, payment, or transition requirements in the applicable agreement.

Upon termination, amounts for completed work, approved work in progress, and non-refundable third-party costs remain payable where applicable.

14. Acceptable use

HogeyTech services may not be used to violate applicable law, interfere with systems or networks, distribute malicious software, gain unauthorized access, abuse third-party services, or engage in activity that creates material security or operational risk.

15. Portfolio and public work

Unless otherwise agreed in writing, HogeyTech may identify publicly accessible, non-confidential work it has completed when describing its experience or portfolio.

Confidential information, private internal systems, credentials, and non-public client information are not covered by this provision.

16. Governing law and disputes

These Terms are governed by the laws applicable to HogeyTech's principal place of business, without regard to conflict-of-law principles, unless another governing law is stated in a separate written agreement.

17. Changes to these Terms

HogeyTech may update these Terms as its services, business practices, or legal requirements change. The effective revision date appears at the top of this page.
